Good Health Naturally Affiliate Program Agreement Terms and Conditions

To be an authorized affiliate of Good Health Naturally, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering as an affiliate with Good Health Naturally. By signing up for the Good Health Naturally Affiliate Program, you indicate your acceptance of this agreement and its terms and conditions.

1. Term Of The Agreement: The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the term.

2. Modification Of The Agreement: We may modify any of the terms and conditions contained in this Agreement, at any time and at our sole discretion, by posting a change of notice or a new agreement on this site. Modifications may include (but not restricted to), for example, changes in the scope of available referral fees, fee schedules, payment procedures and program rules. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the program following our posting of a change notice or new agreement on our site will constitute binding acceptance of the change.

3. Limitation Of Liability: We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.

4. Independent Investigation: You acknowledge that you have read this agreement and agree to all its terms and conditions. You understand that we may at any time, directly or indirectly solicit customer referrals on terms that may differ from those contained in this agreement or operate web sites that are similar to or compete with your web site. You have independently evaluated the desirability of participating in the program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.

5. Referral Commissions and Payments Procedures: The amount of referral commissions due to affiliates will be as follows:

5.1 The Affiliate program is only for use on Good Health Naturally retail websites Affiliate commissions cannot be validated or redeemed against any Good Health Naturally trade or practitioner website order.

5.2 For new affiliates, the initial commission % will be 10% with no sub referral commission. They will be upgraded to a higher level of 20% after an initial referral sale has been completed.

5.3 For a sale, which we make as a result of a direct referral by an affiliate, that affiliate will generally receive at the first working date of the following month a 10% or 20% commission of the total of the valid products, less the shipping and vouchers. This is known as a first-tier referral commission.

5.4 For such a sale as described in the 5.3 paragraph, if the affiliate who made the direct referral is a sub-affiliate of another affiliate, the second affiliate will generally be eligible for a commission fee of 5% of the commission value of the product sold depending upon their level. This is known as a second-tier referral commission.

5.5 Low margin products and Non-Good Health Naturally branded products are not eligible for commissions; we will update this list on a regular basis. For the most recent list please make a request to your Affiliate Manager.

5.6 A commission will only be credited to an affiliate after the customer has made full payment to us. If a customer later requests a refund or a charge back is issued by the credit card holder whose credit card was used to pay for that customer's account, or a Paypal dispute triggers a refund, any commissions that were credited to both first tier and second tier affiliates will be deducted from the next monthly payment. If there is no next monthly payment, the affiliate will be billed and hereby agrees to reimburse us in full for any such commissions.

5.7 Payments will be issued via Pay Pal, made payable to the affiliate in the name the affiliate submits in his or her online registration, and emailed to the email address provided by the affiliate. Affiliates must have accumulated commissions of at least $50USD for a given payment period before a PayPal payment will be issued. Affiliates must have accumulated commissions of at least $50USD before a store credit will be issued. There is a 12-month time limit for Affiliates commissions to reach the initial $50USD store credit threshold, after this time the Affiliate account value will be voided and the account will be closed.

5.8 Commission payments are issued at the earliest date of the month following the month of commission earned - eg commissions earned in January will be paid on the earliest date in February.

6. Tracking of Sales:

6.1 We are solely responsible for tracking sales using special software that communicates with the specially encoded URLs assigned to affiliates. We will endeavor to do our best to ensure accurate tracking of referrals made by affiliates.

6.2 Affiliates will themselves be solely responsible for ensuring that these special URLs are formatted properly, a necessary prerequisite to accurate tracking of referral sales.

6.3 Notwithstanding the above statement of responsibility by us to track sales, affiliates hereby acknowledge and accept that the tracking system employed by us is not 100% fail-safe and that there may on occasion be instances of referral sales made that are not credited to an affiliate for any number of possible reasons, some of which might be (but not restricted to): Failure by the affiliate to use the proper format of the specially assigned URL in promotions, webpage links, banner ads, and so on; deliberate or accidental actions by customers to circumvent an affiliate's special URL so that our software is unable to accurately track that sale; bugs, glitches or crashes of the tracking software that render it unable to accurately track sales for a period of time; acts of a nature that cause irretrievable data loss on the computers and back-up disk media that store the commission information.

6.4. As such, affiliates will not hold us liable to compensate for any claimed commissions that were not tracked and recorded by the tracking software.

6.5. We will pay referral fees on any subsequent sales after the customer has entered our site through the use of a cookie placed on the end user computer. If, through no fault of ours, the cookie is removed or blocked by the customer, that customer's purchase may be tracked only if customer enters our site directly through a link from your site. The cookie will expire at the end of 1 year. After this period you will no longer be eligible for commissions from this customer.

7. Relationship of Parties:

7.1 You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

7.2 You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

7.3 Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

8. Compliance with Laws:

8.1 You are solely responsible for complying with all international, federal, state, local or other laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions and any other requirements of statutorily recognized authorities in force or applicable where you operate (“Laws”), including but not limited to Laws pertaining to consumer protection, data privacy and security, advertising, anti-spam laws, and electronic mail marketing. You further warrant that no promotion method used by you or the content of your Sites will reference, implicate, or suggest association with or imply endorsement by Good Health Naturally.

9. Prohibited Activities:

9.1 You will not display any Links or other GoodHealthNaturally content on any Site that contain any pornographic, hate-related, violent or illegal content or that promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

9.2 You will not bid for search engine placement or pay per click using the term “GoodHealthNaturally” or any variation or misspelling thereof or of any GoodHealthNaturally-branded property, mark, slogan or other intellectual property, including, but not limited to product names, product titles, registered trademarks etc.

9.3 You will not display GoodHealthNaturally Content on any site that disparages GoodHealthNaturally, its affiliates or subsidiaries or their products or services or infringes on any intellectual property or other rights.

9.4 You will not edit, modify, truncate, or change the order of information contained in any Link.

9.5 You will not cause any transactions to be made that are not in good faith.

9.6 Your promotional activities will be executed and delivered in a manner that is ethical and legal and does not mislead your end users.

9.7 You will not include any trademark of GoodHealthNaturally or its affiliates, or a variant or misspelling of a trademark of GoodHealthNaturally or its affiliates, in any domain name, subdomain name, or in any username, group name, email address, or social network identifier.

9.8 Your site will not display the phone number or associated email addresses of GoodHealthNaturally.

9.9 You will not generate or send any email messages using or containing GoodHealthNaturally or content or any variation thereof, including GoodHealthNaturally’s name or logo.

9.10 You will not engage in any activities that could, in GoodHealthNaturally’s reasonable judgment, reflect poorly on GoodHealthNaturally or otherwise disparage or devalue GoodHealthNaturally’s reputation or goodwill.

9.11 You will not use or display any GoodHealthNaturally Brand Features or content in a manner that could reasonably imply an endorsement, relationship, affiliation with, or sponsorship between you or a third party and GoodHealthNaturally.

9.12 You will not wrap or frame your Site in any manner or in any way copy or resemble the look and feel of the GoodHealthNaturally Websites, or create the impression that your Site is one of or part of GoodHealthNaturally’s Websites.

9.13 You will not use the GoodHealthNaturally content or resources, including, but not limited to, Health Coaches, digital assets or marketing materials (excluding those provided in the Good Health Naturally Affiliate hub/portal) to market to or divert GoodHealthNaturally merchants or customers from GoodHealthNaturally services.

9.14 You will not collect any data from Good Health Naturally customers for the purpose of any competitor within the same/similar industry as Good Health Naturally.

9.15 You may NOT receive credit for referring yourself and/or cannot be your own 2nd tier/parent Affiliate.

9.16 Use of Spam emails or MLM traffic sites is strictly prohibited.

10. Advertising:

10.1 Affiliates can use our product images, but in no way use Robert Redfern’s picture or name on your site.

10.2 Images, names, banners, headers or any other asset should not be used to imitate the look or feel to give the impression or make users think it is from Good Health Naturally or Naturally Healthy Publications.

10.3 Affiliates are responsible for ensuring all images and product information, shipping procedures are kept up to date at all times, complaints made direct as a result of non-compliance may result in commissions being withheld.

11. Violation of Agreement

11.1 Violations or infringement of any of the provisions listed above may lead to suspension or termination of your affiliate account and all earnings being withheld or dissolved, with immediate effect.

By participating in the Affiliate Program you accept these Terms and Conditions revised as of 22nd April 2020.
